Not-for-Profit vs. Charity: What’s the Difference?
Why Incorporate Your
NFP or Charity in Ontario?
Incorporating your organization under Ontario law gives you:

-
A separate legal identity — the organization exists on its own,
not tied to you personally.
-
Limited liability protection for directors and members.
-
Better credibility with funders and partners.
-
Easier access to grants, bank accounts, and financial tools.
-
A clear framework for governance and operations.

What You’ll Need to Get Started
1
Choose Your
Organization Name
Pick a name that reflects your mission and follows Ontario naming rules for not-for-profits.
A name search (NUANS)
is required to incorporate and can help confirm if it’s unique.
2
Prepare Your Articles of Incorporation
This is the legal document that sets out your organization’s purposes, structure, and governance. If you intend to pursue charity status, your purposes must align with CRA’s definition of “charitable” when you later apply.
3
List Your
Directors
Ontario law requires you to list directors who will govern the organization.
The Ontario Not for Profit Corporations Act (ONCA) requires a minimum of 3 directors be listed at all times.
4
File With the
Ontario Government
Submit the required information and pay the filing fee Launch A Business.
Once approved, your Not for Profit or Charitable organization is legally formed.

5
(For Charities Only) Apply to the CRA
After you’re incorporated, you can apply to the Canada Revenue Agency for charitable status.
This is a separate process with its own application and review timeline.
Is Ontario Incorporation Right for
Your Not-for-Profit or Charity?
If your organization will mostly operate in Ontario, provincial incorporation gives you a
solid legal foundation without the extra paperwork of Federal registration. It’s a smart, practical
way to start making a difference in your community.
