Starting a business in Ontario comes with a lot of decisions — and one of the first is choosing your business name. Somewhere along the way, you’ll hear about a NUANS name search, and many entrepreneurs assume it’s mandatory in every situation.
Here’s the truth: a NUANS search is not always required in Ontario.
Whether you actually need one depends on how you’re registering your business, where you’re registering and what name you plan to use. Let’s break it down in plain English so you know exactly when a NUANS search is required — and when you can skip it.
What Is a Business Name Search in Ontario?
A business name search checks whether your chosen name is already being used or is too similar to another registered business.
In Ontario, name searches are used to:
Reduce confusion between businesses
Protect existing business names
Help ensure your name meets legal naming rules
The most common type of name search people hear about is NUANS, but it’s not the only scenario.
What Is a NUANS Name Search?
NUANS (Newly Upgraded Automated Name Search) is a report that compares your proposed business name against:
Federal corporations
Provincial corporations
Trademarks
Similar existing names across Canada
It’s designed primarily for corporations using a custom name, not every business type.
When a NUANS Search Is Required in Ontario
You do need a NUANS name search if you are:
If you’re incorporating in Ontario and want a named corporation (for example, Bright Path Consulting Inc.), a NUANS report is required as part of the incorporation process.
This applies to:
Ontario corporations with a name
Federal corporations with a name (extra-provincial registration may also apply)
If an existing corporation wants to change its legal name, a new NUANS search is required before filing the change.
When a NUANS Search Is Not Required
This is where many business owners get confused.
If you incorporate using a numbered name (for example, 1234567 Ontario Inc.), no NUANS search is needed.
You can still operate under a brand name later by registering a trade name.
Registering a sole proprietorship in Ontario does not require a NUANS search.
Instead, the province checks name availability through its own business name system during registration.
3. Partnerships
General partnerships and limited partnerships in Ontario do not require a NUANS report either.
Name checks are handled at the provincial level during registration.
If you already have a corporation and want to operate under a different name (also called a trade name or business name), NUANS is not required.
Example:
Legal name: 1234567 Ontario Inc.
Operating as: Rocket Marketing Studio
This only requires a business name registration, not a NUANS search.
